By accessing or using FirstDown ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. We may update these Terms at any time; continued use after changes constitutes acceptance.
2. Description of Service
FirstDown is a sports analytics and informational platform. We provide probability-based pick analysis, track record data, and related content powered by our proprietary MWave engine. FirstDown is not a sportsbook and does not accept, place, or facilitate any wagers on your behalf.
3. No Guarantee of Results
Past performance does not guarantee future results. Backtested results are based on historical data and may not reflect real-world conditions including but not limited to liquidity constraints, line movement, and execution timing. All ROI figures are presented for informational purposes only.
4. Not Financial or Gambling Advice
Nothing on the Service constitutes financial advice, investment advice, or gambling advice. The information provided is for entertainment and informational purposes only. You are solely responsible for your own betting decisions. We strongly encourage you to research applicable laws in your jurisdiction before placing any wagers.
5. Eligibility
You must be at least 18 years of age (or the legal gambling age in your jurisdiction, whichever is greater) to use the Service. By using FirstDown, you represent and warrant that you meet this age requirement.
6. Account Registration
To access certain features, you may need to create an account. You agree to provide accurate information and to keep your login credentials confidential. You are responsible for all activity under your account.
7. Subscription and Billing
FirstDown may offer free and paid subscription tiers. Paid subscriptions are billed on a recurring basis. You may cancel at any time; cancellation takes effect at the end of the current billing period. Refunds are provided at our sole discretion. All payments are processed through Stripe.
8. Intellectual Property
The MWave engine, all algorithms, models, probability calculations, content, and branding are the proprietary intellectual property of FirstDown Technologies LLC. You may not reproduce, distribute, reverse engineer, or create derivative works from any part of the Service without our prior written consent.
9. Third-Party Data
The Service may display odds, scores, or statistics sourced from third-party providers. We do not guarantee the accuracy or completeness of third-party data. Use of such data is subject to the respective providers' terms and conditions.
10. Disclaimer of Warranties
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
11. Limitation of Liability
To the maximum extent permitted by law, FirstDown Technologies LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability shall not exceed the amount you have paid to FirstDown in the six (6) months preceding the claim.
12. Responsible Gambling

13. Indemnification
You agree to indemnify and hold harmless FirstDown Technologies LLC and its affiliates from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
14. Modifications
We reserve the right to modify or discontinue the Service (or any part thereof) at any time without notice. We may also update these Terms periodically. Material changes will be communicated via email or in-app notice.
15. Termination
We may suspend or terminate your access to the Service at our sole discretion, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately.
16. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in California.
